Welcome to Flag-Shop.ca (the “Website”). Please read these Terms and Conditions of Sale (“Terms”) carefully before placing an order. By accessing this Website and/or purchasing products from us, you agree to be bound by these Terms.

As used in these Terms, “The Flag Shop,” “we,” “us,” or “our” refers to the specific independent legal entity fulfilling your order, as outlined in Section 1 below.

1. Independent Operations & Regional Fulfillment

Flag-Shop.ca is an online platform jointly utilized by two independently operated business entities. These locations share website operational costs but have no other financial, legal, or corporate ties, and neither entity is responsible for the liabilities, actions, or omissions of the other. Your order will be processed and fulfilled based on your geographic location:

Saskatoon Location: Fulfills and services all orders with shipping destinations within Saskatchewan, the Northwest Territories, and Yukon.
Manitoba Location: Fulfills and services all orders for all other Canadian provinces and territories, as well as all international and US destinations.
Your contract of sale is exclusively with the specific independent location that fulfills your order.

2. Currency, Pricing, and Taxes

Currency: All prices displayed on the Website are in Canadian Dollars (CAD).
Price Changes: Prices are subject to change without notice prior to our formal acceptance of your order. In the event of a pricing error or change after you submit an order, we will contact you for authorization before your order is processed or shipped.
Taxes: All prices listed are NET and do not include federal, provincial, or local sales taxes. In Canada, GST, PST, and HST will be calculated and added to your order where applicable based on the delivery destination.

3. Payment Authorization and Order Verification

Payment Processing: When you complete the checkout process, your payment method is authorized for the total amount. However, we do not capture (charge) the payment until all aspects of your order—including inventory availability, custom specifications, shipping rates, and pricing—are manually verified for accuracy.
Right of Refusal: We reserve the right to refuse, cancel, or limit any order prior to capturing payment and shipping the goods. If an order is cancelled by us, your authorization will be released, and you will not be charged.

4. Shipping, International Orders, and Risk of Loss

FOB Origin: All shipments are sent FOB (Free on Board) The Flag Shop shipping dock. This means that ownership and the risk of loss or damage to the goods passes to you (the customer) the moment the package is handed over to the shipping carrier.
Shipping Charges: Shipping charges are extra and calculated at checkout. For special shipping arrangements, please contact us directly before finalizing your checkout.
Tracking & Insurance: Loss or damage of goods while in transit is the sole responsibility of the carrier. Unless you explicitly request and pay for additional shipping insurance, your shipment is uninsured. Please note that orders shipped via Lettermail are untracked and, as a result, cannot be insured; choose this shipping method at your own risk.
International & US Shipments: All international and United States orders are fulfilled and shipped from our main office in Winnipeg, MB.
Duties and Customs: International customers are exclusively responsible for all import duties, brokerage fees, VAT, and local customs taxes. These fees will be billed directly to you by the carrier or customs agency. If you are concerned about potential import costs, please contact us prior to ordering to receive an estimated calculation of what those charges may be.

5. Return, Exchange, and Refund Policy

All Sales Are Final: Except as explicitly provided below, all sales made through Flag-Shop.ca are final.
30-Day Exchanges: We permit exchanges on unused, standard stock items within thirty (30) days of your receipt of the shipment. Items must be in their original packaging and in perfectly resalable condition.
Return Shipping: The cost of return shipping for unwanted items or exchanges is the sole responsibility of the customer. We highly recommend using a trackable shipping service, as we cannot guarantee receipt of your returned item.
Custom & Special Orders: We offer custom-made flags, banners, event displays, promotional products and other manufactured goods. All custom orders, special orders, and custom modifications are strictly non-refundable and entirely excluded from our 30-day exchange policy. If you have questions regarding a custom layout, please contact us prior to production.

6. Defective Goods

15-Day Reporting Window: If you receive an item that is manufacturing-defective or damaged prior to transit, you must report the defect to us within 15 days of receipt of the shipment. Please contact the location that fulfilled your order with your invoice number and photographic evidence of the defect to arrange a replacement or store credit.

7. Product Warranties & Specific Exclusions

No General Warranty: Unless explicitly communicated otherwise by us in writing at the time of purchase, The Flag Shop does not extend any warranty on its products.
Environmental & Site Conditions: Flags, banners, and textile products are inherently considered “wearable goods” subject to outdoor elements. Because environmental factors—such as wind speeds, severe weather, UV/sun exposure, pollution, and physical friction—vary wildly by location, the operational lifespan of any flag or banner is entirely dependent on these site-specific conditions and cannot be guaranteed.
Car and Antenna Flags: Due to the harsh and unpredictable conditions to which vehicle flags are subjected, there is absolutely no warranty on car flags or antenna flags, no matter how long or how short a time they have been used. These items are sold strictly “as-is.”

8. Limitation of Liability: Flagpoles & Hardware

Installation Responsibility: The Flag Shop sells flagpoles, brackets, and related structural hardware, but does not provide installation services through the Website. The responsibility for safe, suitable, and legally compliant installation rests entirely with the customer.
Engineering Recommendation: Environmental conditions, soil composition, wind loads, and building structures vary wildly by location. If you are unsure how to properly, safely, and securely install your flagpole or hardware in your desired location, you must consult a certified local engineer or professional installer.
Liability Waiver: To the maximum extent permitted by applicable law, The Flag Shop (including both independent locations, their owners, and employees) shall not be held liable for any property damage, personal injury, wrongful death, structural failure, or incidental/consequential damages resulting from improper installation, failure to consult an engineer, extreme weather events (acts of God), or exceeding the rated wind-load capacities of the hardware.

9. Force Majeure (Delays Beyond Our Control)

The Flag Shop cannot be held responsible or legally liable for delays in order fulfillment or delivery caused by strikes, labor disruptions, fires, floods, accidents, raw material shortages, carrier/courier delays, or any other causes beyond our reasonable control. We will make every effort to notify you immediately if your order experiences a force majeure delay.

10. Governing Law

For orders fulfilled by the Manitoba location, these Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein.
For orders fulfilled by the Saskatoon location, these Terms shall be governed by and construed in accordance with the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein.
Any legal action or proceeding relating to your access to, or use of, this Website or purchases made here shall be instituted in the provincial courts of the respective fulfilling location.
